Televite – Terms of Service Effective Date: Aug 1, 2025 ⸻ 1. Purpose These Terms of Service ("Terms") govern the Televite service ("Service"). The Service enables users to send Telegram invitations using their own Telegram accounts. ⸻ 2. Definitions 1. User: An individual or entity that agrees to these Terms and uses the Service. 2. Recipient: A third party whose contact information is submitted by the User for invitation messages. 3. Telegram Account: A Telegram user account linked to the Service for sending messages. ⸻ 3. Agreement and Modifications 1. These Terms are effective when posted in the Service or otherwise communicated to Users. 2. For material changes (e.g., pricing, refunds, liability limits, expanded prohibited use), we will notify at least 15 days in advance via in-Service notice or registered email. Users may be asked to re-consent on login. 3. If you do not agree, you may stop using the Service and delete your account. ⸻ 4. Description of Service 1. The Service lets Users connect their Telegram account and send invitation messages to selected contacts. 2. We may enhance, modify, or discontinue features as needed for stable and lawful operation. ⸻ 5. Acceptable Use Policy (AUP) 1. You must not: a. Register or use contact data without prior, provable consent. b. Send spam, unlawful, deceptive, harmful, or misleading content. c. Collect, process, or disclose personal data without authorization. d. Violate or attempt to circumvent Telegram policies, rate limits, or technical restrictions (including automated bulk messaging). e. Reverse engineer, scrape, or attempt to bypass security. 2. We may rate-limit, suspend, or terminate accounts upon suspected or actual violations. ⸻ 6. Opt-out and Suppression 1. Every message must clearly identify the sender and include an opt-out method (e.g., link or designated Telegram bot). 2. We maintain a suppression list for opted-out recipients and may block delivery to those recipients across all campaigns. 3. Repeated violations may result in immediate suspension or termination. ⸻ 7. Account Security 1. Users are fully responsible for the security of their Telegram credentials and sessions. 2. We are not liable for damages arising from unauthorized account use. ⸻ 8. Suspension and Termination We may restrict or terminate access for: 1. Violations of these Terms or applicable law. 2. Abuse of the Service, including excessive or policy-violating messaging. 3. Orders from competent authorities or operational necessity. ⸻ 9. Payments, Points, and Refunds 1. Paid points and paid services are, in principle, non-refundable. 2. Statutory refund obligations (e.g., duplicate charges, mischarges, non-provision due to material system outage, lawful minor cancellations) will be honored as required by law. 3. In case of chargebacks or third-party payment disputes, we may limit accounts and offset or settle amounts accordingly. 4. Prices, rates, taxes, and fees follow the notices within the Service and may change with prior notice. ⸻ 10. Privacy and Data Processing 1. Roles: The User is the controller of contact data; the Company processes such data solely under the User’s instructions to provide the Service. 2. Retention/Deletion: Data is retained only while the account is active and is deleted immediately upon account deletion. Legal retention exceptions apply for transaction/billing/tax records, opt-out suppression lists, and minimal security/access logs, which are kept separately for the duration required by law and then destroyed. Backup media are permanently deleted within a reasonable rotation period. 3. Cross-border processing, subprocessors, and security measures are described in our Privacy Policy and Data Processing Addendum (DPA). ⸻ 11. Telegram and Third Parties 1. The Service is subject to Telegram’s policies and technical changes. We are not affiliated with or endorsed by Telegram. 2. We do not guarantee message delivery or timeliness and may apply per-account rate limits to reduce spam risk. 3. We are not responsible for losses arising from Telegram or third-party actions (e.g., account restrictions, blocking, delays). ⸻ 12. Warranty Disclaimer The Service is provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, or non-infringement. ⸻ 13. Limitation of Liability To the maximum extent permitted by law, our total liability is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We disclaim indirect, incidental, special, consequential, punitive damages, and lost profits. ⸻ 14. Indemnification You will defend, indemnify, and hold the Company harmless from third-party claims, fines, and costs arising from your breach of these Terms, unlawful messaging, or violation of third-party rights. ⸻ 15. Governing Law and Arbitration 1. These Terms are governed by the laws of the Republic of Korea. 2. Any dispute shall be finally resolved by arbitration administered by the Korean Commercial Arbitration Board (KCAB) under its rules. The seat of arbitration is Seoul, the language is Korean, and the tribunal consists of one arbitrator. 3. To the extent permitted by law, the parties waive class actions. Urgent injunctive relief may be sought in competent courts. ⸻ 16. Miscellaneous 1. Eligibility: You must be at least 14 years old and have authority to agree. 2. Assignment: You may not assign these Terms without our prior consent. 3. Force Majeure: We are not liable for events beyond reasonable control. 4. Severability and Survival: If any part is unenforceable, the remainder remains in effect; sections on payments, privacy, warranty, liability, indemnity, and dispute resolution survive termination. 5. Entire Agreement: These Terms constitute the entire agreement regarding the Service.
